Adera Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and Genesis Solutions, trading as Adera ("Adera", "we", "us", or "our"). They govern your use of:

  • Adera, our customer application (package name `com.adera.customer`);
  • Adera Driver, our rider application (package name `com.adera.rider`);
  • https://adera.delivery; and
  • the delivery, dispatch, tracking, support, payment, wallet, notification, and related services connected to them (together, the "Services").

The Privacy Policy at https://adera.delivery/privacy explains how we handle personal data and is incorporated into these Terms by reference.

By creating an account, accepting these Terms, or using the Services, you agree to them. If you do not agree, do not use the Services.

1. What Adera provides

Adera provides technology and operational services that allow customers to request deliveries, allow approved riders to receive and respond to delivery offers, coordinate pickup and delivery, display status and location information, confirm delivery, communicate with participants, and manage related payments or rider wallet records.

Availability, matching, estimated arrival times, routes, and delivery times are not guaranteed. They depend on factors such as rider availability, location, traffic, weather, package suitability, connectivity, safety, and events outside our reasonable control.

Any rider's employment, contractor, agency, or other legal relationship with Adera is governed by applicable law and any separate rider agreement. Nothing in these consumer-facing Terms changes that relationship or creates authority for a rider to make commitments on Adera's behalf.

2. Eligibility

You must:

  • be at least 18 years old and legally capable of entering a binding agreement;
  • provide accurate, current, and complete information;
  • use the Services only for lawful purposes; and
  • comply with these Terms and all laws that apply to you, the package, the vehicle, and the delivery.

Riders must also hold all licences, identification, vehicle documents, insurance, permissions, and qualifications required by law and Adera. We may require verification before or during access to rider features.

3. Accounts and security

Accounts are personal and may not be sold, transferred, rented, or shared. You must keep your device and account secure and must not share a one-time passcode. You are responsible for activity performed through your account unless it results from a failure for which Adera is legally responsible.

Tell us promptly if you believe an account has been accessed without permission, a phone has been lost, or account information is incorrect. We may require reasonable identity or document verification before restoring access, changing sensitive details, processing a deletion request, or handling a payment dispute.

We may reject, pause, or revoke registration where information is false, incomplete, expired, unsafe, unlawful, or cannot be verified.

4. Customer responsibilities

When requesting a delivery, a customer must:

  • provide accurate pickup, destination, contact, recipient, package, timing, and handling information;
  • have authority to provide any recipient's personal data and arrange the delivery;
  • ensure the package is lawful, safely packed, reasonably accessible, and suitable for the selected delivery method;
  • disclose the package's true nature, relevant hazards, fragility, special handling needs, and declared value;
  • make sure someone authorised is available at pickup and delivery;
  • avoid asking a rider to violate traffic, safety, employment, transport, or other laws;
  • pay the displayed or agreed charges and any lawful additional charges disclosed before they are incurred; and
  • use rider contact and location information only for the relevant delivery, safety, or support purpose.

If information is inaccurate or incomplete, the delivery may be delayed, repriced, refused, cancelled, returned, or treated as failed, and the customer may be responsible for resulting costs to the extent permitted by law.

5. Rider responsibilities

When using Adera Driver, a rider must:

  • keep identity, licence, vehicle, insurance, payment, and contact information accurate and current;
  • use only an approved, roadworthy vehicle and comply with road, parking, safety, and transport laws;
  • not allow another person to use the rider's account or perform an assigned delivery without Adera's written approval;
  • review available delivery information before accepting an offer;
  • handle packages carefully and follow lawful, reasonable delivery instructions;
  • collect and deliver only to the correct authorised person or location;
  • submit genuine pickup and delivery evidence when requested;
  • protect customer, sender, and recipient information and use it only for the assigned delivery;
  • report accidents, loss, damage, safety concerns, suspected illegal items, or delivery disputes promptly; and
  • not manipulate location, offers, status, pricing, ratings, wallet records, proof, or delivery events.

Riders must not use a phone unsafely while driving. Offers should be reviewed and accepted or rejected only when it is safe and lawful to do so.

6. Location and rider availability

The customer app may use location to select addresses and display delivery tracking. Adera Driver requires precise location to determine rider availability, send nearby offers, navigate, show delivery progress, support safety, and maintain service records.

When a rider chooses to be online or has an active delivery, Adera Driver may collect location in the foreground and background, including while the app is minimised or not actively in use. During an assigned delivery, relevant live or recent rider location may be shown to that customer. Further details are in the Privacy Policy and the prominent in-app location disclosure.

Going online means the rider is available to receive offers; it does not guarantee any minimum number of offers or earnings. Going offline generally stops availability for new offers, although an active delivery and related obligations continue until safely completed, cancelled, or reassigned.

7. Delivery requests, offers, and matching

A customer's request is an offer to purchase the delivery service shown in the app. A delivery is not assigned until the platform confirms a matching rider. An offer shown to a rider is time-limited and may be offered to other eligible riders if it expires, is rejected, or cannot be completed.

We may limit which riders receive an offer based on distance, online status, vehicle suitability, verification, wallet eligibility, safety, active-delivery status, platform rules, and service reliability. We may withdraw or reassign an offer where reasonably necessary.

A rider must not accept a delivery that the rider cannot safely and lawfully perform. A customer must not pressure a rider to accept changes outside the confirmed request. Material changes may require a new price, cancellation, or new delivery request.

8. Prohibited and restricted items

Unless Adera has expressly approved them in writing and all legal requirements are met, the Services may not be used for:

  • illegal, stolen, counterfeit, or unlawfully obtained goods;
  • firearms, ammunition, explosives, or weapons;
  • dangerous, toxic, corrosive, radioactive, or improperly packaged hazardous materials;
  • illegal drugs, controlled substances, or prescription medicines supplied unlawfully;
  • cash, negotiable instruments, precious metals, gemstones, or items whose risk is disproportionate to the delivery service;
  • human remains, body parts, biological specimens, or regulated medical waste;
  • live animals or people;
  • pornography or material whose possession or distribution is illegal;
  • items requiring a special licence, controlled temperature, security, customs process, or regulated carrier that has not been arranged; or
  • any item that may endanger a rider, recipient, the public, a vehicle, or other property.

Additional package-size, weight, value, or category limits may be shown in the app or communicated before acceptance. Adera or a rider may refuse or stop a delivery reasonably believed to be unlawful, unsafe, incorrectly described, or prohibited. We may contact appropriate authorities where required or reasonably necessary for safety.

9. Prices and customer payment

The app may display an estimate or a confirmed price based on route, distance, service type, package details, demand, waiting time, and other disclosed factors. A price may change if the customer changes the request, provides incorrect details, incurs waiting or return costs, or another clearly disclosed adjustment applies. We will seek agreement where required by law before charging a material additional amount.

Available customer payment methods may include cash or another method shown in the app. Customers must pay through an authorised method and must not use the Services to launder money, commit fraud, obtain an unauthorised cash advance, or evade a lawful charge.

Unless expressly stated otherwise, quoted charges include applicable platform pricing but may exclude taxes, government charges, tolls, parking, waiting, return, or special-handling costs that are lawfully and clearly disclosed.

10. Rider wallet and payment providers

Where made available, Adera Driver includes a wallet ledger for delivery earnings, top-ups, adjustments, locked amounts, withdrawals, and related transaction history. The wallet is a platform feature, not a bank account, savings product, deposit, or investment. It does not earn interest and is not represented as deposit-insured.

Wallet top-ups and transfers may be processed through Chapa or another provider shown at the time of payment. The provider's own terms and privacy notice may apply. A transaction is credited only after Adera or the provider verifies successful payment. A pending, failed, reversed, expired, duplicated, or disputed transaction may be held, rejected, reversed, or investigated.

A rider must have authority to use any payer phone number or payment method supplied. Riders must review the amount, recipient, status, fees, and provider page before confirming a transaction.

Withdrawal, refund, cancellation, minimum-balance, and settlement features are available only where shown and may be subject to identity checks, transaction limits, fees, fraud controls, applicable law, and provider availability. Adera may temporarily lock an amount reasonably connected to an accepted or active delivery, a reversal, a dispute, fraud review, or a legal requirement, but will not withhold funds unlawfully.

11. Cancellation, failed delivery, return, and refunds

A delivery may be cancelled through the app while cancellation is available. The ability to cancel may change after a rider has accepted, travelled, arrived, collected the package, or incurred costs. A cancellation, waiting, failed-delivery, or return fee may apply only where it was disclosed or is otherwise permitted by law.

Riders may cancel or request reassignment for safety, illegality, vehicle failure, materially incorrect package details, inability to contact a delivery party, or another reasonable operational cause. Adera may cancel or reassign a delivery for the same reasons or because the Services are unavailable.

Refund eligibility depends on the payment status, reason, stage of delivery, evidence, provider rules, and applicable law. Approved refunds are returned through an available method and may take time to appear because of payment-provider processing. Cash-payment disputes may require manual review.

12. Pickup, delivery, photographs, and confirmation codes

Adera may require a photograph, signature, one-time code, status update, or other evidence at pickup or delivery. These records help confirm custody and completion, protect delivery participants, and resolve disputes.

A customer or recipient must give a delivery confirmation code only when the package has been received in the expected condition, unless support instructs otherwise. A rider must never request or enter a false code, reuse a code, stage a photograph, or mark a delivery complete before delivery.

Photographs should show only what is reasonably necessary to document the package and delivery. Do not photograph identification documents, private interiors, bystanders, children, or sensitive information unless genuinely necessary, lawful, and authorised.

Proof records are relevant evidence but are not conclusive where there is credible contrary evidence. We may investigate and correct a delivery status or wallet record.

13. Ratings, support, and user content

You retain ownership of photographs, comments, ratings, documents, and other content you submit. You grant Adera a non-exclusive, worldwide, royalty-free licence to host, copy, transmit, display, adapt, and otherwise use that content only as reasonably necessary to provide, secure, support, document, and improve the Services; meet legal obligations; and resolve disputes.

You must have the right to submit the content. It must not be false, misleading, unlawful, abusive, discriminatory, threatening, defamatory, infringing, malicious, or unnecessarily invasive of another person's privacy.

We may restrict or remove content that violates these Terms or law, while preserving records where reasonably needed for safety, a dispute, or a legal obligation. Ratings may be moderated or excluded where they are fraudulent, retaliatory, irrelevant, or abusive.

14. Communications

You agree that Adera and its providers may send service communications needed to operate and secure the Services, including one-time passcodes, delivery status, rider assignment, recipient confirmation, wallet status, safety, support, and important policy notices. These may be sent by SMS, push notification, phone, email, or in-app message.

Service messages are not marketing and may be necessary to use an account or complete a delivery. Where Adera sends optional marketing, it will provide any consent and opt-out controls required by law.

15. Acceptable use

You must not:

  • break the law or encourage another person to do so;
  • harass, threaten, discriminate against, stalk, assault, or endanger another person;
  • misuse another person's phone number, address, location, identity, documents, photographs, or payment information;
  • create fraudulent deliveries, accounts, referrals, ratings, proofs, payments, refunds, or wallet activity;
  • impersonate another person or misrepresent a package, vehicle, location, delivery, or authority;
  • interfere with dispatch, tracking, security, app functionality, networks, or another user's access;
  • reverse engineer, scrape, probe, bypass controls, introduce malware, automate unauthorised requests, or overload the Services except where applicable law expressly permits an activity that cannot be restricted by contract;
  • copy or use Adera branding, software, or data without permission; or
  • use information obtained through the Services for unrelated solicitation, surveillance, advertising, or publication.

16. Safety and emergencies

Adera is not an emergency service. If anyone is in immediate danger, contact local emergency services or law enforcement first, then notify Adera when safe.

Users must make reasonable safety decisions even if an app instruction, route, offer, estimate, or status suggests otherwise. Riders should not handle the app while a vehicle is moving unless permitted by law and safely operated through an appropriate hands-free method.

17. Suspension, termination, and account deletion

You may stop using the Services at any time and may request account deletion as described in the Privacy Policy and at https://adera.delivery/delete-account.

We may warn, restrict, suspend, or terminate access where reasonably necessary because of:

  • a material or repeated breach of these Terms;
  • fraud, non-payment, chargeback abuse, false documents, or manipulated delivery records;
  • a safety risk, serious complaint, prohibited item, or unlawful conduct;
  • expired or invalid rider credentials;
  • a legal or regulatory requirement; or
  • conduct likely to harm users, Adera, providers, or the public.

Where appropriate and lawful, we will provide notice and a reasonable opportunity to explain or appeal. Immediate restriction may be necessary for safety, security, fraud prevention, or law enforcement. Suspension does not erase valid payment, delivery, return, confidentiality, dispute, or legal obligations.

18. Third-party services

The Services depend on third parties such as Google Maps, Firebase Cloud Messaging, Chapa, AfroMessage, cloud infrastructure and object-storage providers, telecommunications networks, device operating systems, and app stores. Their separate terms and privacy notices may apply to their own services.

Adera is responsible for its obligations under applicable law but does not control an independent third party's network, app store, payment page, or service. Temporary failures, delays, or inaccurate third-party information may affect maps, notifications, SMS messages, payments, file access, or availability.

19. Intellectual property

The Services, including Adera's software, design, text, graphics, logos, databases, and other materials, are owned by or licensed to Adera and are protected by applicable intellectual-property laws. Subject to these Terms, Adera gives you a limited, personal, revocable, non-exclusive, non-transferable licence to install and use the applicable app for its intended purpose.

No other rights are granted. Feedback you voluntarily provide may be used by Adera without payment or obligation, but we will not identify you publicly as its source without permission.

20. Service disclaimers

We will provide the Services with the care and skill required by applicable law. However, to the maximum extent the law permits, the Services are provided on an "as available" basis, and we do not guarantee uninterrupted operation, a rider match, a particular route or arrival time, continuous GPS or network coverage, or that every third-party service will always be available.

Maps, routes, locations, prices, times, and status information may be estimates or delayed. Users should verify important package, recipient, location, safety, and payment information.

Nothing in these Terms excludes a warranty, remedy, duty, or consumer right that applicable law does not allow us to exclude.

21. Responsibility and limitation of liability

Each party is responsible for loss that it causes through breach of these Terms, negligence, unlawful conduct, fraud, or wilful misconduct, subject to applicable law and proof of loss.

To the maximum extent permitted by law, Adera is not responsible for indirect, incidental, special, exemplary, or consequential loss, or loss of profit, opportunity, or data, that was not reasonably foreseeable when you accepted these Terms.

Any limit on Adera's liability will not apply to fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, unlawful handling of personal data, or any other liability that cannot legally be limited. These Terms do not limit your mandatory rights under Ethiopian consumer, transport, employment, payment, or data-protection law.

22. Indemnity

To the extent permitted by law, you will compensate Adera for reasonable third-party claims, losses, and costs directly caused by your unlawful conduct, intentional misuse of the Services, prohibited package, material breach of these Terms, or infringement of another person's rights. This does not require you to compensate Adera for its own negligence, unlawful conduct, or breach, and it does not reduce any mandatory consumer protection.

23. Changes to the Services or Terms

We may change the Services and these Terms to reflect new features, providers, risks, business needs, or legal requirements. We will publish the updated Terms and change the date above. We will provide reasonable additional notice before a material change takes effect and request renewed agreement where required by law.

Changes will not retroactively remove accrued rights or change a completed transaction unless law requires it or the affected parties agree. If you do not accept updated Terms, you should stop using the Services and may request account deletion.

24. Governing law and disputes

These Terms are governed by the laws of the Federal Democratic Republic of Ethiopia, without excluding any mandatory law that applies to you.

Please contact us first so we can try to resolve a complaint promptly. If it cannot be resolved informally, either party may bring the dispute before a court or competent authority in Ethiopia with lawful jurisdiction. Nothing in this section prevents either party from seeking urgent protective relief or using a mandatory complaint, regulatory, consumer, employment, or data-protection process.

25. General terms

If a provision of these Terms is found unlawful or unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect. A delay in enforcing a right is not a waiver. You may not transfer these Terms without our consent, but Adera may transfer them as part of a lawful reorganisation or business transfer with any notice required by law.

The provisions that by their nature should continue after account closure will survive, including provisions concerning payment, confidentiality, privacy, user content, intellectual property, disputes, and responsibility for prior conduct.
